EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, this registration statement on Form S-8 (the Registration Statement) is being filed in order to register an additional 285,498 shares of the Registrants Common Stock, par value $0.001 per share, which are securities of the same class and relate to the same employee benefit plan, the AtriCure, Inc. 2008 Employee Stock Purchase Plan (the Plan), as those shares registered on the Registrants registration statements on Form S-8 previously filed with the Commission on June 30, 2008 (Registration No. 333-152013), which is hereby incorporated by reference. After giving effect to shares registered under this Registration Statement, the Registrant has registered 585,498 shares under the Plan.
